1 Acceptance of Terms & Engagement

By signing a Digistaa Proposal, Statement of Work (SOW), issuing a Purchase Order, or executing payment for services, the Client agrees to be bound by these Master Terms and Conditions. These terms supersede all prior verbal or written understandings.

2 Statements of Work (SOW) & Change Orders

Specific deliverables, milestones, tech stacks, and timelines are detailed in mutual Statements of Work. Any modification, expansion, or feature addition requested outside the approved SOW scope requires a formal written Change Order detailing additional hours, costs, and timeline adjustments.

3 Intellectual Property Ownership & Code Transfer

Client Ownership: Upon full and final settlement of all invoiced fees, all bespoke code, custom designs, proprietary graphics, brand assets, and content authored specifically for the Client transfer 100% to the Client.

Digistaa Pre-Existing Assets: Digistaa retains ownership of generic libraries, internal developer toolkits, starter boilerplate code, and underlying algorithms created independently of the project. Digistaa grants the Client a perpetual, royalty-free, worldwide license to use such embedded components.

4 Fees, Retainers & Invoicing Schedules

• Project Invoicing: Standard fixed-price contracts are billed according to milestone deliverables (typically 40% commencement deposit, 30% alpha/beta delivery, and 30% final deployment).
• Monthly Retainers: SEO, digital marketing, and ongoing support retainers are invoiced on the 1st of each calendar month on a Net-15 or Net-30 payment basis.
• Late Penalties: Invoices outstanding past 30 days are subject to a late administrative interest fee of 1.5% per month on overdue balances.

5 Client Responsibilities & Milestone Approvals

Timely project execution depends on prompt feedback. The Client agrees to provide necessary access credentials, brand assets, and feedback within five (5) business days of milestone submission. Delays caused by unresponsiveness may result in adjusted project delivery schedules.

6 Warranties, Bug Fix Warranty & SLA Commitments

Digistaa provides a thirty (30) day post-launch bug warranty covering any defect, visual inconsistency, or software glitch resulting from original code non-conformance. SLA contracts provide guaranteed response times (up to 99.9% uptime SLA and 1-hour critical response).

7 Limitation of Liability & Indemnification

To the maximum extent permitted by applicable law, in no event shall Digistaa Digital be liable for indirect, incidental, punitive, or consequential damages (including lost profits or business disruption). Total cumulative liability under any claim is capped at the total amount paid by the Client to Digistaa during the three (3) months preceding the claim.

8 Confidentiality & Non-Disclosure

Both parties agree to protect and maintain confidential proprietary information, business data, technical architecture, and customer lists with the highest standard of care, both during the term of engagement and for five (5) years following project completion.

9 Termination & Handover Protocols

Either party may terminate an ongoing agreement with thirty (30) days written notice. In the event of early termination, the Client is responsible for payment of all approved work completed up to the termination date. Upon settlement, Digistaa will execute a complete code and asset repository handover.

10 Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of Karnataka, India. Any dispute arising out of this agreement shall first be subject to good-faith mediation before submission to binding arbitration in Bengaluru, India.
